Simel Öncel provides comprehensive legal counsel across all phases of commercial activity, with a primary focus on corporate and commercial law. With extensive experience in structuring corporate entities and commercial transactions, as well as drafting and implementing complex contractual frameworks, she plays an active role in both domestic and cross-border matters—from initial planning to final execution—across a wide range of corporate and transactional projects, including mergers and acquisitions. 

She has advised numerous domestic and international investment funds and strategic investors throughout all stages of transactional matters, including preliminary negotiations, legal due diligence, transaction documentation, closing, and post-closing implementation. Her practice also encompasses the strategic structuring, management, and execution of investment processes from entry through to exit. 

Simel has a well-established track record in corporate governance and regulatory compliance matters. She regularly advises on general assembly processes, board of directors' resolutions, internal directives, signatory authorities, and corporate representation structures—representing clients in both contentious and non-contentious contexts. Her approach to day-to-day commercial legal inquiries is proactive, solution-oriented, and tailored to clients’ operational needs. 

In addition, she counsels national and international companies operating in diverse sectors—including retail, energy, and information technology, as well as advertising, telecommunications, fund management, and fast-moving consumer goods—on a wide array of legal matters. These include company formation, corporate restructuring, negotiation and execution of commercial contracts, and the establishment of distribution and supply chain relationships. Her cross-sectoral experience enables her to deliver legal guidance with a nuanced understanding of industry-specific regulatory landscapes and business models.
